Then the only benefits of Octane over Modo is: speed (some cases), easy setup, photorealism?
then, its worth it?

Only you can decide that. How much do you value speed, easy setup, and photorealism? Does your work requirements fit within the limitations of Octane?

For me, the easy setup of GI and materials as well as the quality without lots of tweaking was worth investing in Octane, even though it's limitations have kept me from using it on some recent jobs (needed particles, variation texture, displacement, more procedurals, and camera projection). As I do more archviz and less advertising work, I think I'll be able to use Octane more, especially as 2.0 ships.

Ill focus mainly in advertising but only for static images. Octane 2 will fill the gaps but will it render particles? What are going to be the limitations of octane 2 inside modo?
