After some further tests octane does initiate and work however it takes 3-5 minutes for it to initiate. On some larger models it crashes after running for a few minutes. I have videos available of this if necessary. In the end it works but very very slow to load. Is it my old processors causing this ...

Yes have double checked, i have been re-install several times with no luck, since i.55 installer will automatically find the right version of 3DS Max (in this case, I used 3DS MAX 2012 x64).
I suspect there is incompatibility issue between the plugin and win 8.1,

Yes, they are there as I suspected, It makes me wonder why it won't allow the plugin work. All I did was just regular/normal installation.
Other thing is the Octane stand alone works fine.

I use 3x GTX Titan and the driver version :GeForce 344.1, and x64 bit system OS

I just migrated my 1.55b license to a new system which has Windows 8.1 OS on it, but apparently i got error on the plugin whenever I start 3Ds MAX 2012,
Just wondering if this version is not compatible with Windows 8.1?
